1. Acceptance of Terms
By accessing and using the website of USA Access Solutions ("Company," "we," "our," "us"), you accept and agree to be bound by the terms and provision of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services. Any participation in this service will constitute acceptance of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Services Provided
USA Access Solutions provides assistance with U.S. LLC formation, registered agent services, EIN acquisition, U.S. business bank account setup, virtual office and mailing address, compliance and annual report filing, ITIN application assistance, business consulting services, tax consultation and filing, and trademark registration assistance. The services are provided "as is" and "as available" without any warranties of any kind.
3. User Responsibilities
You are responsible for providing accurate, current, and complete information during the registration process and for updating such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
4. Payment Terms
All fees for services are due prior to the commencement of services. Payments can be made via credit and debit cards, PayPal, bank transfers, digital wallets, and cryptocurrency. All fees are non-refundable unless otherwise stated.
5. Intellectual Property Rights
The content on the website, including but not limited to text, graphics, images, and software, is the property of USA Access Solutions and is protected by applicable copyright and trademark laws. Unauthorized use of the content may violate copyright, trademark, and other laws.
6. Limitation of Liability (continued)
In no event shall USA Access Solutions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our service by any third party; and/or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the service, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not the company has been advised of the possibility of such damages.
7. Indemnification
You agree to indemnify, defend, and hold harmless USA Access Solutions and its affiliates, directors, officers, employees, and agents from and against all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees and costs) arising out of or related to your use of the services, your violation of these Terms, or your violation of any rights of another.
8. Governing Law
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.
9. Termination
We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Entire Agreement
These Terms constitute the entire agreement between you and USA Access Solutions regarding the use of the service and supersede and replace any prior agreements we might have had between us regarding the service.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.
